A 12-month contract handling SaaS customer agreements, reseller deals and data processing terms for a software group’s UK and European sales teams.
The role
The group sells finance and procurement software to mid-market and enterprise customers in 30 countries, with annual revenue of around £600m. Its in-house legal team of 18 supports a sales organisation that has grown quickly following two acquisitions. One commercial lawyer is starting parental leave and the team is also running a contract migration project, so it needs an experienced counsel for twelve months. You will report to the Senior Legal Counsel for EMEA and work most days with sales and deal desk colleagues.
What you will do
Draft and negotiate SaaS subscription agreements, order forms and master services agreements, typically worth £100,000 to £2m a year.
Handle reseller, referral and partnership agreements across the UK and Europe.
Review and negotiate data processing agreements and security schedules with customers’ privacy teams.
Help move acquired customers onto the group’s standard terms.
Keep the contract playbook and templates up to date as negotiating positions change.
What you will bring
Qualification as a solicitor in England and Wales, or equivalent, with three to six years’ post-qualification experience.
Experience of commercial technology contracts, gained in-house at a software company or in a law firm’s TMT team.
A good working knowledge of UK and EU GDPR as they apply to SaaS.
The ability to manage a high volume of matters and prioritise against sales deadlines.
Clear, commercial drafting that sales teams can follow.
The package
A day rate of £450 to £550 inside IR35, paid through an umbrella company, for twelve months with a view to extension. Two days a week in the Farringdon office. The client can interview within a week and will wait for one month’s notice.
